OEM Vista is tied to the motherboard it is first installed on. Unlike the retail versions of Windows which can be transferred to a new computer, OEM licenses are not transferable.
Both OEM and Retail Vista is licensed on a per copy per device basis. You can install only one copy of the software on the licensed device.

As per my know how retail also has restrictions regarding motherboard, if you install it on other system it wont get registered as a genuine one.

OEM costs much less.to give an idea you can get VISTA ULTIMATE OEM for ~$100 which is equal to ~5000 from a foreign website while VISTA ULTIMATE RETAIL here will cost you at least ~15000-20000 i think.as for retail version restriction if you want to install it after say changing your motherboard you will have to call microsoft to explain your situation & they might even ask for some code/no. on the original DVD/CD & then they will activate it by giving you the activation code by phone itself.i think there is a limit to no. of times you can do this with your retail version but some people claimed to have it done successfully for 5-7 times.

Is he both able and willing? Then whence cometh evil? Is he neither able nor willing? Then why call him God?

One option you have is to make an image of your OS....i do not know if you have bought your desktop/laptop and are already using or if you are going to buy one.....let us say you are going to buy one....than what you could do is before you start using the desktop/laptop make an image of the OS in its most pristine state, that way if you dont have a CD/DVD of your vista for installing purposes or for some other reason (you have a problem) you can have an image file on a DVD/CD which you can restore......and i am not sure (maybe somebody here can tell u this)---> but i think that it will work even if it is an OEM or retail, bcos it is making a exact replica of everything into your image....with an image proggy you can even make a byte 2 byte copy (meaning) even what is not installed (empty sectors of your hardisk).

One need not have to worry even if one has to re-install the OS because these companies provide a Factory image restore options as pre-installed by making a recovery drive ...........................
secondly they also provide the installation CD with the system just in case if one needs to format the whole system and loses the recovery drive as well and is unable to restore using the Restore To Factory image utility .

OEM means original equipment manufacturer.basically it means that a company gives you some product like software from another company to use with their product, say, nero with lg/samsung/sony dvd writer.in such cases the support for this software will be provided by the company which gave you that software & not the company which made that software.e.g.nero won't provide support for their OEM version you get with a dvd writer.this also means that an OEM version will have lesser features(like in case of nero)& they will be cheaper too as the company manufacturing software is saving money by not providing you any support.so if you are comfortable with using a software & sure that there is nothing you can't solve on your own you can buy an OEM version of a software at a much lower rate than retail version.
